Terms of Service

1. Introduction and Acceptance of Terms
   These Terms govern your use of the VUCATech services, including any updates or modifications thereto. By using our services, you agree to these Terms and to any additional terms and conditions that may apply to specific portions of the services.
2. Description of Services
   VUCATech provides technology support and consulting services to businesses and individuals, including but not limited to network building, operation, and maintenance, troubleshooting, and budgetary planning. We also provide management consulting services, including guidance on strategy, organization design, and leadership development.
3. Payment and Billing
   You agree to pay VUCATech all fees and charges incurred in connection with your use of the services, including any applicable taxes. Payment shall be made in advance of services being rendered unless otherwise agreed in writing. A net 30 is available for qualified customers.
4. Late Fees
   Late payments shall be subject to a late fee of 10% per month, or the maximum amount allowed by law, whichever is less. Minimum monthly late fee is $50. A two day grace period is allowed. A payment considered late after the invoice due date.
5. No Refunds
   All fees and charges are non-refundable, and no refunds will be given for any reason.
6. Cancelation
   You may cancel the services at any time by providing written notice to VUCATech. You will only be responsible for payment for services rendered up to the date of cancellation.
7. Services Rendered
   You will only be responsible for payment for services actually rendered by VUCATech. No payment will be required for any services that were not provided.
8. Overtime and Weekend Rates
   Overtime services provided outside of business hours will be billed at a rate of 1.5 times the standard rate. Weekend services will be billed at a rate of 2 times the standard rate.
9. Force Majeure
   VUCATech shall not be liable for any failure or delay in the performance of its obligations under these Terms if such failure or delay is due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, and government actions.
10. Limitation of Liability
    In no event shall VUCATech be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use of the services or these Terms.
11. No Guarantee
    VUCATech makes no guarantees or warranties, express or implied, with respect to the services, including but not limited to any warranties of merchantability, fitness for a particular purpose, or non-infringement.
12. Governing Law and Jurisdiction
    These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without giving effect to any principles of conflicts of law. You agree to submit to the personal jurisdiction of the courts located in Texas.
13. User Conduct
    You agree to use the Services only for lawful purposes and in a manner that does not infringe on the rights of others or restrict or inhibit their use and enjoyment of the Services. You agree not to engage in any activity that could damage, disable, overburden, or impair the Services or interfere with any other party’s use of the Services.
14. Confidentiality
    We will maintain the confidentiality of any information provided to us in connection with the Services, and will not use or disclose such information except as necessary to provide the Services or as otherwise required by law.
15. Intellectual Property
    We will retain ownership of all intellectual property rights in any deliverables or materials created by us in connection with the services, including but not limited to any software, data, reports, and recommendations.
16. Modifications
    We reserve the right to modify these Terms at any time without notice. Your continued use of the services after any such modifications constitutes your acceptance of the revised Terms.
17. Termination
    We may terminate these Terms and your access to the services at any time for any reason. Upon termination, you must immediately cease all use of the services.
18. Entire Agreement
    These Terms constitute the entire agreement between you and VUCATech regarding the use of the services, and supersede all prior agreements and understandings, whether written or oral.
19. Waiver and Severability
    Any failure by VUCATech to enforce any provision of these Terms shall not be deemed a waiver of such provision or of the right to enforce such provision. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remainder of these Terms shall remain in full force and effect.
20. Assignment
    You may not assign these Terms or any of your rights or obligations hereunder without our prior written consent. VUCATech may assign these Terms without your consent.
21. Headings
    The headings used in these Terms are for convenience only and shall not affect the interpretation of these Terms.
