Terms of Service for VUCATech
Welcome to VUCATech. These terms of service (“Terms”) are a legal agreement between you and VUCATech (“we,” “us,” or “our”) that govern your use of VUCATech services, products, software, and websites (collectively, the “Services”). By using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.
1. Introduction and Acceptance of Terms
These Terms govern your use of the VUCATech Services, including any updates or modifications thereto. By using our Services, you agree to these Terms and to any additional terms and conditions that may apply to specific portions of the Services.
2. Description of Services
VUCATech provides technology support and consulting services to businesses and individuals, including but not limited to network design, operation, maintenance, troubleshooting, and budgetary planning. We also provide management consulting services, including guidance on strategy, organizational design, and leadership development.
3. Payment and Billing
You agree to pay all fees and charges incurred in connection with your use of the Services, including applicable taxes. Payment is due in advance of services rendered unless otherwise agreed in writing. Qualified customers may be eligible for net 30 payment terms. Accepted payment methods and billing cycles will be outlined in your service agreement or invoice.
4. Late Fees
Payments not received by the due date will incur a late fee of 10% per month, or the maximum amount permitted by law, whichever is less. A minimum monthly late fee of $50 applies. A two-day grace period is allowed before late fees are applied.
5. No Refunds
All fees and charges are non-refundable, including fees related to third-party services. No refunds will be issued for any reason, including early termination.
6. Cancellation
You may cancel Services at any time by providing written notice to VUCATech. You remain responsible for payment of services rendered up to the date of cancellation. Customers with mangement contacts cancellation requires 30 days’ written notice, and you are responsible for any early termination or cancellation fees imposed by service providers we are managing for you. These fees will be invoiced by VUCATech and must be paid regardless of the cancellation date.
7. Services Rendered
Payment is only required for services actually provided by VUCATech. No fees will be charged for services not rendered.
8. Overtime and Weekend Rates
- Overtime services provided outside regular business hours are billed at 1.5 times the standard rate.
- Weekend services are billed at 2 times the standard rate.
9. Force Majeure
VUCATech is not liable for delays or failures caused by circumstances beyond reasonable control, including acts of God, war, terrorism, labor disputes, or government actions.
10. Limitation of Liability
VUCATech’s liability, whether direct or indirect, for any damages arising from the use of the Services or these Terms is limited to the amount paid for the Services.
11. No Guarantee
We make no warranties or guarantees regarding the Services, including implied warranties of merchantability or fitness for a particular purpose.
12. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Texas. You agree to submit to the personal jurisdiction of Texas courts.
13. User Conduct
You agree to use the Services lawfully and responsibly, without infringing on others’ rights or disrupting the Services.
14. Confidentiality
We will protect confidential information shared during the provision of Services and will not disclose it except as necessary to deliver the Services or as required by law.
15. Intellectual Property
All intellectual property rights in deliverables or materials created by VUCATech remain with VUCATech unless otherwise agreed.
16. Modifications
We may modify these Terms at any time without prior notice. Continued use of the Services after changes constitutes acceptance.
17. Termination
We may terminate your access to the Services at any time, with or without cause. Upon termination, you must cease use immediately.
18. Entire Agreement
These Terms, along with any service agreements, constitute the entire understanding between you and VUCATech.
19. Waiver and Severability
Failure to enforce any provision does not waive our rights. If any part of these Terms is invalid, the remainder stays effective.
20. Assignment
You may not assign your rights or obligations without our written consent. VUCATech may assign these Terms freely.
21. Headings
Section headings are for convenience and do not affect interpretation.
